Terms of Service

These Terms govern your use of the KICK website and of any service, platform or brand operated by KICK Company Limited ("KICK", "we", "us"). By using our website or working with us as a partner, artist or client, you agree to these Terms.
1. Who We Are
KICK Company Limited is a Vietnamese technology company based in Hanoi, covering music production, mixing and mastering, training, artist management, copyright registration, distribution and licensing. KICK also operates brands including KICK Academy, VNCM, FL Studio Vietnam, PhanMemNhac, BeatKit, PhatHanhNhac and WAV. Individual brands may publish their own additional terms; where they conflict with this document, the brand-specific terms apply to that brand's services.
2. Using This Website
The content on this website is provided for general information about KICK and its services. It is not an offer, a contract, or a guarantee of any specific result. You may not copy, scrape, reverse engineer, overload or interfere with this website, or use it for any unlawful purpose.
3. Partnership Applications
Submitting a partnership application, or contacting us by email or phone, does not create a partnership. A relationship with KICK begins only when both sides sign a separate written agreement. You confirm that the information you send us is accurate and that you have the authority to send it.
4. Your Rights in Your Music
You keep ownership of the music, recordings, artwork and other materials you deliver to us. KICK does not claim ownership of your work. You warrant that you hold all necessary rights in the material you deliver, including rights in samples, loops, features and third-party contributions, and that it does not infringe anyone else's rights.
5. Licence You Grant to KICK
To provide our services, you grant KICK a non-exclusive licence to host, reproduce, encode, distribute, register and publicly communicate your material, to the extent and for the term needed to deliver the services you asked for. This licence exists only to run the services. It ends when the relevant agreement ends, except where a distribution platform, collecting society or rights database requires a take-down period or a registration to remain in force for a defined time.
6. Copyright Registration and Content ID
Where you ask us to register your works for copyright protection or with a Content ID system, you authorise KICK to submit them on your behalf and to manage claims, disputes, whitelists and releases relating to them. Registration outcomes depend on third parties. KICK does not guarantee that a work will be accepted, that a claim will succeed, or that a dispute will be resolved in your favour. You must not submit works you do not control, public-domain material, or content that would generate improper claims against other rights holders. Doing so may result in immediate termination and liability for the resulting damage.
7. Distribution, Royalties and Payments
Distribution timelines, available stores and reporting depend on the platforms we deliver to and are outside KICK's control. Revenue shares, fees, payout thresholds and payment schedules are set in your written agreement with KICK. Royalties are paid after the relevant platforms report and pay us, and after applicable taxes and transaction fees. You are responsible for your own tax obligations, and for keeping your payment and identification details accurate and up to date.
8. Training and Educational Services
Course materials, curricula and recordings supplied through KICK Academy or any KICK training programme are licensed to you for personal learning only. You may not resell, republish or redistribute them. Fees, schedules, cancellation and refund rules for a course are those stated at the time of enrolment.
9. Software, Tools and Third-Party Services
Some KICK brands provide software, plugins, presets or online tools. These are licensed, not sold, and may depend on third-party services that can change or be discontinued. Third-party platforms — including digital stores, streaming services, collecting societies and Content ID systems — have their own terms. You are responsible for complying with them.
10. Prohibited Conduct
You must not use KICK services to infringe intellectual property, distribute AI-generated voice or likeness imitations of a person without their consent, manipulate streaming or chart data, launder revenue, or carry out any unlawful, deceptive or abusive activity. We may refuse, remove or take down any material at any time where we reasonably believe it breaches these Terms or applicable law.
11. Confidentiality
Each side must keep the other's non-public commercial, technical and financial information confidential, and use it only for the purpose of the relationship.
12. Personal Data
We process the personal data you give us — such as name, email, phone number and payment details — to respond to enquiries, provide the services and meet our legal obligations. Our Privacy Policy explains this in full. We do not sell personal data.
13. Disclaimer
Our website and services are provided "as is". We do not warrant uninterrupted availability, specific commercial results, particular streaming numbers, revenue levels, or acceptance by any third-party platform.
14. Limitation of Liability
To the maximum extent permitted by Vietnamese law, KICK is not liable for indirect, incidental or consequential loss, including lost profits, lost opportunities or loss of data. KICK's total liability under any claim is limited to the amounts you paid to KICK, or that KICK owed you, in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.
15. Suspension and Termination
We may suspend or end access to our services if you breach these Terms, if we are required to do so by law or by a platform we rely on, or if your activity exposes KICK or other rights holders to risk. Sections on rights, confidentiality, liability and governing law survive termination.
16. Changes
We may update these Terms as our services change. The version published on this page is the version in force, and the date above shows when it last changed. Continuing to use our services after a change means you accept the updated Terms.
17. Governing Law
These Terms are governed by the laws of Vietnam. Disputes that cannot be settled by negotiation will be resolved by the competent courts of Hanoi, Vietnam.
